how to Registration Foreign-invested Company in China
I. Name registration process, relevant forms for reference£º(forms about company name for download)
1. Foreign-invested company shall apply for a separate company name regisration in advance,for example if you want to use ¡° SHINY CO,.LTD ¡°, which shall be after the sanction of project proposals and feasibility study report, and before the sanction of contract and regulations.
2. Materials shall be accepted when they are complete, of compliance, and of approved formality.
3. Check whether it is a duplicated name through computer.
4. After the confirmation of no duplicated name, receiving personnel shall sign examined opinions and report to Department (Section) chief for approval.
5. Archives staff shall input the approved canonical name into computer and print out Approval Notification of Company Name.
6. After the approval, receiving personnel shall fill out the name registration standing book, file one of the applications and the approval application as well.
7. Applicants receive Approval Notification of Company Name.
8. Submit to the State Administration for Industry and Commerce (SAIC) if the company name is beyond existing regulations or has the need.
II. Registration Process for Opening and Alternation
1. Company shall apply for opening registration within 30days after authorities' sanction of contract and regulations; apply for registration of alternation when points for attention have altered.
2. After the application of opening (alternation), receiving personnel shall examine the company's registration materials for the first time, and grant applicant an application in triplicate. The preliminary examination shall not be deemed as an acceptance.
3. After the preliminary examination, the receiving personnel shall accept the materials when they are complete, of compliance, and of approved formality, and timely notify the applicant. Otherwise, they shall be responsible for notifying the company to supplement and revise materials to complete the procedure.
4. Receiving personnel shall sign examined opinions on the application, fill out the standing book of alternation registration, sort the material and report to Department (Section) chief for approval.
5. After the approval, the approved material shall be delivered to receiving personnel, who shall then report to managing director for approval. Then receiving personnel shall deliver the printed license. The rejected materials shall be returned back to receiving personnel, who shall then be responsible for notifying applicant.
6. Archives staff shall print the license in accordance with the contents of manuscripts. After that, entry personnel shall sign the Application for Opening (Alternation) Registration, deliver the materials and license to receiving personnel, who shall then be in charge of checking whether the materials reviewed are complete and of a right order. After the review, grant the license, deliver the materials for file.
7. Applicants shall pay registration fees, company¡¯s registered capital, and obtain a license. Note: This process also applies to branch (act) institutions, sub-licensing, renewal of the original registration.
III£®Logout Registration Process
1. In order to facilitate company, after logout application, receiving personnel shall examine the company's material for the first time, and grant the applicant an application in triplicate. The preliminary examination shall not be deemed as an acceptance.
2. After the preliminary examination, the receiving personnel shall accept the materials when they are complete, of compliance, and of approved formality, and timely notify the applicant. Otherwise, they shall be responsible for notifying the company to supplement and revise materials to complete the procedure.
3. Receiving personnel shall sign opinions on Application for Cancellation of Registration, fill out the standing book and report to Department (Section) chief for approval.
4. After the approval of its correctness, receiving personnel shall deliver the material to filing room to enter the logout registered situation. The entry personnel then sign on Application for Cancellation of Registration, deliver the material back to the receiving personnel, who shall then approve its correctness and give the Notice for Cancellation of Registration of Foreign-invested Company, retain mold of applicants¡¯ seal, destroy it face to face, and file the relevant material.
5. Applicant pay advertising costs and obtain the Notice for Cancellation of Registration of Foreign-invested Company.
IV. Registration Process for License Replacement
1. Receiving staff receives the application that the company has stated reasons for license replacement, transfers the files to check the validity of the signature on the application (all directors), makes out to publish a letter of introduction in newspaper which states the cancellation of original license. Company shall publish the statement holding the letter on municipal and provincial newspapers or above.
2. In order to facilitate companies, after the replacement application, the receiving personnel shall examine the company's material for the first time, and grant the applicant an application in triplicate. The preliminary examination shall not be deemed as an acceptance.
3. After the preliminary examination, the receiving personnel shall accept the materials when they are complete, of compliance, and of approved formality, and timely notify the applicant. Otherwise, they shall be responsible for notifying the company to supplement and revise materials to complete the procedure.
4. Receiving personnel shall sign on the application as follows: ¡° The company is applying for replacement of XX license because of XX. As materials are complete, the replacement of XX license is suggested.¡± Deliver to Department (Section) chief for approval.
5. After the approval, Department (Section) chief shall sign ¡°the replacement of XX license is granted¡± on the application. Then the receiving personnel shall deliver the printed license. After printing, entry personnel shall sign on the application, deliver the material to receiving personnel, who shall approve its correctness and issue a new license, and finally file.
V. Registration Process for Application of Off-site Branch (act) Establishment
1. After the application of off-site branch (act) establishment, receiving personnel shall examine the company's material for the first time, and grant the applicant an application in triplicate. The preliminary examination shall not be deemed as an acceptance.
2. After the preliminary examination, the receiving personnel shall accept the materials when they are complete, of compliance, and of approved formality, and timely notify the applicant. Otherwise, they shall be responsible for notifying the company to supplement and revise materials to complete the procedure.
3. After the approval, receiving personnel shall sign opinions, report to Department (Section) for approval, and then fill out the Approved Letter of Off-site Branch (act) Establishment of Foreign-invested Company, stamp on it, and deliver the letter to the company. If the company applies for other item at the same time, the process shall register as the other alternation. The rejected one shall be returned back to receiving personnel, who shall then timely notify the applicant. |
